Terms of engagement.
Every engagement is governed by a written scope and a signed agreement. This page is the summary of what they always cover; the documents themselves are what apply. The contracting entity, and its New Zealand company and GST numbers, are named in the agreement.
Before any work
Nothing starts without a written scope.
The scoping call carries no obligation on either side. Anything we say in it is a first view on the problem, not advice to act on before a scope is written. If the work is a fit, discovery follows and ends with a written scope. Work begins when that scope and the agreement that goes with it are signed, and not before.
Rates are agreed in the scope, before any work starts, quoted in New Zealand dollars and exclusive of GST. Any travel or third-party costs are agreed in writing before they are incurred. Rates are not published on this site because they depend on the shape of the work.
The written scope
What every scope sets out.
-
What will be built or reviewed, and what it depends on.
-
The timeline, the milestones, and how we will know it worked.
-
Rates, invoicing and payment terms.
-
Who owns the deliverables and when ownership passes, and which pre-existing tools and methods stay ours.
-
Confidentiality, and how client data is handled and returned.
-
What handover includes: documentation and working sessions with the people who will own the result.
-
How changes to the scope are agreed, and how either side ends the engagement.
Two ways to engage
Fixed scope, or retained.
A fixed-scope build has a defined deliverable and an end point, and ends when the deliverable is handed over. A retained arrangement is a standing number of days per month, reviewed at agreed points, and ends at an agreed notice period. The comparison is set out on the working with us page.
Engagements can be contracted directly with Confidirect, or through a contracting arrangement your organisation already uses where we can review and accept its terms. Whichever route, the written scope is what governs the work.
Liability and law
What the agreement also sets out.
The agreement sets a limit on our liability and excludes indirect loss. Our services are supplied for business purposes, so the Consumer Guarantees Act does not apply.
If something goes wrong we talk first, in good faith. The agreement is governed by New Zealand law.
